1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") govern your access to and use of the Website, Platform, and Services. By accessing, browsing, submitting information to, creating an account on, or otherwise using the Platform, you agree to be bound by these Terms and all applicable laws. If you do not agree to these Terms, you must not access or use the Platform or Services.

2. DEFINITIONS

In these Terms, the following capitalized terms have the meanings set forth below:

• "Ad Placement" means the digital display, positioning, and hosting of an Advertisement on the Platform.

• "Advertisement" means any digital property advertisement, promotional content, or promotional media submitted by an Advertiser for publication on the Platform.

• "Advertiser" means any property owner, corporate entity, builder, developer, or other authorized individual or entity that purchases an Advertising Package or otherwise submits content to publish an Advertisement on the Platform.

• "Content" means all text, data, software, photographs, graphics, layouts, designs, and other materials available on or through the Platform.

• "Inquiry" means any communication, lead, message, form submission, or request for information initiated by a User through the Platform regarding a specific Property Profile or Advertisement.

• "Platform" means the Website, digital forms, communication routing workflows, automated systems, application programming interfaces (APIs), and related technical architectures operated by PMB.

• "PMB" means Property MarketBase, a brand and service operated by MarketBase Media Inc., together with its owners, operators, affiliates, contractors, representatives, successors, and assigns.

• "Property Page" (interchangeable with "Feature Page") means the specific webpage on the Platform where an individual Advertisement is displayed.

• "Property Profile" means the compilation of information, data, and media elements submitted by an Advertiser to form the basis of an Advertisement.

• "Services" means the digital advertising, promotional, communication routing, and automated software services provided by PMB via the Platform, including Advertising Packages, Advertising Services, and Advertising Upgrades.

• "User" means any visitor, prospective buyer, tenant, investor, consumer, Advertiser, or other individual or entity who accesses or interacts with the Platform.

• "User Content" means any text, media, photographs, dimensions, or other promotional materials submitted, uploaded, or transmitted to the Platform by a User or Advertiser.

• "Website" means the PMB website and any associated webpages, landing pages, subdomains, applications, digital forms, mobile functionality, or online platform functionality operated by PMB.

3. ABOUT PMB

Property MarketBase ("PMB") is a digital property advertising platform, promotional platform, and informational media network operated by MarketBase Media Inc. PMB is not a real estate brokerage, licensed real estate professional, appraiser, home inspector, property manager, lawyer, accountant, mortgage broker, financial advisor, tax advisor, or regulated professional service provider. PMB does not represent buyers, sellers, landlords, or tenants, and does not provide professional real estate services or engage in regulated brokerage activities. PMB does not participate in, manage, or control property transactions, negotiations, contracts, agreements, deposits, commissions, financing arrangements, property transfers, closings, or physical inspections. PMB simply provides automated communication routing, inquiry forwarding, and additional digital exposure and discovery opportunities for properties via Property Pages and Ad Placements.

4. ELIGIBILITY

By accessing or using the Platform, you represent and warrant that:

• You are at least eighteen (18) years of age;

• You possess the legal capacity to enter into these Terms; and

• Your use of the Platform and Services complies with all applicable laws, rules, and regulations.

5. ADVERTISEMENTS AND AD PLACEMENTS

Advertisements and Property Profiles appearing on the Platform are compiled and submitted directly by Advertisers. The publication or appearance of an Ad Placement on the Platform does not imply or constitute an endorsement, recommendation, approval, certification, verification, guarantee, or professional opinion by PMB. PMB reserves the right, in its sole discretion, without prior notice and without liability, to reject, edit, suspend, archive, remove, unpublish, or refuse any Advertisement, User Content, submission, or communication routing workflow for any reason or no reason.

6. NO BROKERAGE OR PROFESSIONAL RELATIONSHIP

Your use of the Platform or Services does not create, imply, or establish any brokerage representation, agency relationship, fiduciary duty, advisory relationship, partnership, joint venture, employment relationship, or professional services relationship between PMB and any User or Advertiser. PMB owes no fiduciary or professional duties to any party.

7. NO VERIFICATION OF INFORMATION

PMB operates strictly as a content publishing platform and communication-routing platform. PMB does not investigate, verify, confirm, inspect, validate, certify, or guarantee any information, Advertising Content, or media submitted to, provided to, obtained or used by, or displayed on the Platform. Without limiting the generality of the foregoing, PMB does not verify property ownership, title, pricing, square footage, dimensions, lot sizes, physical measurements, zoning, tenancy status, occupancy status, municipal or building permits, photographs, videos, descriptions, physical property conditions, availability, or legal compliance. All Users are solely and exclusively responsible for conducting their own independent verification and due diligence.

8. NO PRICING OR PROFESSIONAL ADVICE

PMB does not provide property valuations, appraisals, comparative market analyses, pricing recommendations, investment advice, legal advice, tax advice, financial advice, mortgage advice, inspection advice, or real estate advice. Any pricing or valuation data displayed on the Platform is Promotional Content supplied entirely by the Advertiser or third-party sources. Users are solely responsible for determining appropriate transaction structures, pricing, and obtaining independent professional counsel.

9. BUYER AND CONSUMER RESPONSIBILITIES

Prospective buyers, tenants, investors, and other consumers are solely and exclusively responsible for conducting their own investigations, property tours, physical inspections, title searches, financial analyses, and due diligence. PMB strongly encourages all Users to obtain appropriate independent legal, financial, appraisal, home inspection, and professional real estate advice prior to executing any binding transaction or contract.

10. ADVERTISER RESPONSIBILITIES

Advertisers assume sole and absolute liability for the accuracy, legality, completeness, truthfulness, and regulatory compliance of all User Content, Property Profiles, and Advertisements submitted to PMB. Advertisers agree that they shall not submit false, misleading, deceptive, fraudulent, inaccurate, or materially incomplete information. Advertisers represent and warrant on an ongoing basis that they possess all necessary intellectual property rights, copyrights, permissions, consents, licenses, and lawful authority required to advertise the applicable property, submit the associated User Content, and utilize the Services.

11. COMMUNICATIONS AND INQUIRY ROUTING

PMB may provide communication tools that allow prospective buyers, inquirers, and other Users to contact Advertisers through the Platform. Communications submitted through PMB may be received by PMB and forwarded or routed to the applicable Advertiser.

PMB acts solely as a communication-routing intermediary and does not represent either party, verify the identity or qualifications of an inquirer, evaluate or screen inquiries, negotiate on behalf of any party, or guarantee that an Advertiser will respond.

PMB does not guarantee the delivery, timing, accuracy, receipt of, or response to any inquiry, communication, lead, or message. PMB shall not be liable for spam filtering, delivery failures, communication delays, routing errors, technical interruptions, email provider actions, phishing attempts, unsolicited communications, or missed opportunities resulting from communication or routing failures.

11A. Electronic Communications

By using the Platform or Services, you consent to receive communications from PMB electronically, including via emails, text messages, push notifications, or notices posted on the Platform. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

11B. Commercial Electronic Communications (CASL)

To the extent permitted by applicable law, including Canada's Anti-Spam Legislation (CASL), PMB may send commercial electronic messages relating to the Platform, Services, Advertising Packages, Advertising Upgrades, Advertising Renewals, operational updates, and related offerings. You may withdraw your consent and unsubscribe from commercial electronic communications at any time by utilizing the "unsubscribe" link included in such messages or by contacting PMB directly. You acknowledge that transactional, operational, or account-related electronic messages necessary to deliver the Services are exempt from opt-out requirements.

12. USER CONTENT

Users and Advertisers retain all ownership rights in the User Content they submit to the Platform. By uploading, submitting, or transmitting User Content to PMB, you hereby grant PMB a non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license during the period required to operate, display, archive, administer, and promote the applicable Advertisement and related Services to display, reproduce, publish, distribute, format, host, cache, index, and modify such content solely for presentation, operational, administrative, and promotional purposes in connection with operating the Platform and Services.

13. AI, AUTOMATION, AND CONTENT PROCESSING

PMB utilizes software automation tools, artificial intelligence systems, machine learning technologies, and automated workflows to assist with formatting, organization, categorization, summarization, advertisement layout enhancement, communication routing, and automated content moderation. PMB shall not be liable for errors, omissions, technical delays, or inaccuracies generated or introduced by such automated systems or AI content processors.

14. AUTOMATED EXPIRY AND PLATFORM AUTOMATION

The Platform utilizes automated e-commerce workflows, timers, and tags to manage operational cycles, visibility, and lifetimes of Ad Placements. Advertisements shall automatically transition to inactive, archived, unpublished, hidden, or draft status immediately upon the expiration of the purchased Advertising Package or applicable term. PMB disclaims liability for missed Inquiries, lost opportunities, reduced digital visibility, delayed renewals, or outcomes arising from automated platform expirations.

15. PROHIBITED ACTIVITIES

Users shall not, directly or indirectly:

• Submit false, misleading, deceptive, fraudulent, inaccurate, or materially incomplete information;

• Impersonate any person or entity, or misrepresent property ownership, licensing, authority, or authorization;

• Engage in fraud, phishing, deceptive trade practices, or unlawful activity;

• Submit spam, unsolicited commercial communications, or high-volume automated inquiries;

• Harass, threaten, intimidate, abuse, defame, or interfere with other Users;

• Upload or distribute malicious software, viruses, scripts, worms, or harmful code;

• Interfere with, disrupt, compromise, or circumvent the security, operation, or technical functionality of the Platform;

• Attempt to gain unauthorized access to PMB's servers, data centers, networks, accounts, or systems; or

• Violate any applicable municipal, provincial, federal, or international laws, regulations, or court orders.

16. SCRAPING, DATA HARVESTING, AND COMPETITIVE USE

The Platform and its Content are protected by copyright and database laws. Users are strictly prohibited from engaging in the following conduct:

• Scraping, harvesting, extracting, parsing, copying, or collecting Advertisement data, Content, or pricing metrics;

• Bulk downloading photographs, videos, floor plans, documents, or graphics;

• Utilizing automated bots, crawlers, spiders, scripts, data extraction tools, or scrapers without PMB's express, prior written consent;

• Harvesting contact information, communication infrastructure data, or email relays;

• Creating, populating, or maintaining competing databases, digital advertising venues, or platforms using PMB Content; or

• Utilizing any Content, User Content, or data from the Platform to train, develop, fine-tune, improve, or operate artificial intelligence models, machine learning systems, or large language models without PMB's express written authorization.

17. PUBLIC INFORMATION AND THIRD-PARTY MISUSE

Users acknowledge that information published on internet-facing media networks may be copied, indexed, cached, scraped, or reproduced by third parties beyond PMB's control. PMB shall not be liable for unauthorized copying, republication, rental scams, fraudulent external advertisements, identity theft, data harvesting, or other third-party misuse of publicly displayed information. Publication of property advertisements inherently carries digital tracking and privacy risks that cannot be completely eliminated.

18. THIRD-PARTY SERVICES, PAYMENT PROCESSORS, AND LINKS

The Platform integrates with third-party service providers, including hosting vendors, e-commerce platforms, third-party payment processors, analytics providers, and mapping services. PMB does not control, endorse, or assume responsibility for third-party content, software, privacy practices, availability, or operational conduct. PMB utilizes PCI-DSS compliant third-party payment processors and does not directly store or process credit card numbers. PMB shall not be liable for payment processing errors, duplicate charges, declined transactions, chargebacks, processor outages, gateway failures, banking interruptions, or fraud screening decisions executed by third-party payment services. Access to and use of third-party services is entirely at your own risk.

18A. Intellectual Property

As between PMB and the User, all right, title, and interest in and to the Platform, Website, Services, proprietary algorithms, communication routing software, and all text, graphics, logos, trademarks, interface designs, and underlying code are and will remain the exclusive property of PMB and its licensors. Except for the limited access rights expressly granted herein, nothing in these Terms transfers any intellectual property rights to any User.

18B. Force Majeure

PMB shall not be liable or responsible for any failure to perform, technical delay, outage, or interruption of its obligations or Services caused by events beyond its reasonable control, including, without limitation, acts of God, strikes, lockouts, labor disputes, internet service provider outages, cloud infrastructure failures, cyber-attacks, ransomware, denial-of-service (DoS) attacks, government actions, wars, riots, pandemics, or systemic telecommunication failures.

19. DISCLAIMER OF WARRANTIES

THE PLATFORM, SERVICES, AND CONTENT ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PMB DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, GUARANTEES, AND ASSURANCES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, PMB MAKES NO WARRANTY REGARDING:

• CONTINUOUS PLATFORM ACCESSIBILITY, AVAILABILITY, UPTIME, OR UNINTERRUPTED TECHNICAL OPERATION;

• THE ACCURACY, COMPLETENESS, RELIABILITY, CURRENTNESS, OR TRUTH OF ANY ADVERTISEMENT, CONTENT, OR USER CONTENT;

• THE DELIVERY, SUCCESS, TIMING, ACCURACY, OR RECEIPT OF ANY INQUIRY OR COMMUNICATION ROUTING WORKFLOW;

• THE QUALITY, INTENT, CAPACITY, OR QUALIFICATIONS OF ANY ADVERTISER, BUYER, TENANT, OR CONSUMER; OR

• ANY SPECIFIC MARKETING OUTCOME, TRANSACTIONAL SUCCESS, LEAD GENERATION QUANTITY, OR ECONOMIC BENEFIT.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PMB, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, SHAREHOLDERS, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ECONOMIC DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, REPUTATIONAL DAMAGE, FAILED TRANSACTIONS, PROPERTY PURCHASES, COST OF SUBSTITUTE GOODS OR SERVICES, OR DISPUTES BETWEEN USERS, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM, SERVICES, OR CONTENT, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF PMB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CIRCUMSTANCES, PMB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (a) the total fees actually paid by you to PMB during the twelve (12) month period immediately preceding the event giving rise to liability; or (b) One Hundred Canadian Dollars ($100.00 CAD).

21. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PMB, its corporate parents, subsidiaries, owners, officers, directors, employees, contractors, affiliates, representatives, successors, and permitted assigns from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, deficiencies, and expenses (including reasonable legal and professional fees on a solicitor-client basis) arising directly or indirectly out of or relating to:

• Your access to or use of the Platform, Services, or Content;

• User Content or Advertisements submitted, owned, or transmitted by you;

• Your breach of or default under any provision, representation, or warranty contained in these Terms;

• Your violation of any third-party intellectual property, copyright, privacy, or proprietary right;

• Your communications, disclosures, negotiations, representations, failures to respond, or conduct following receipt of an Inquiry; or

• Your violation of any applicable municipal, provincial, federal, or international laws or regulations. PMB is not a party to any communication, contract, or relationship occurring between Users, and you release PMB from any liability arising from interactions, transactions, or disputes with other Users.

22. SUSPENSION, REMOVAL, AND TERMINATION

PMB reserves the right, in its sole discretion, without prior notice, liability, or obligation to refund, to suspend, restrict, throttle, block, terminate, remove, archive, edit, unpublish, or refuse access to any Advertisement, User Content, submission, Account, or communication routing workflow, effective immediately, for any reason, including without limitation, a breach of these Terms, non-payment of fees, or actions that may harm the integrity or operational functionality of the Platform.

23. MODIFICATIONS TO THE PLATFORM AND REFUNDS

PMB reserves the right to modify, discontinue, suspend, remove, replace, add, or change any aspect of the Platform or Services at any time, including features, display configurations, technologies, user interfaces, pricing structures, Advertising Packages, Upgrades, Renewals, or operational processes, without liability. PMB does not guarantee the continuous availability of any specific package, pricing tier, feature, or service model. Advertising fees become entirely non-refundable once advertisement preparation work has commenced, except where explicitly required otherwise by applicable provincial consumer protection laws. Advertisement preparation work includes, without limitation, administrative ingestion, content review, formatting, digital configuration, communication routing setup, profile creation, and infrastructure deployment.

24. CHANGES TO THESE TERMS

PMB may periodically revise, update, or modify these Terms to reflect technical, legal, operational, or regulatory adjustments. Updated versions will be posted on the Website with an updated "Last Updated" date. Your continued access to or use of the Platform or Services following the publication of revised Terms constitutes your acceptance of the modified Terms.

24A. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, such determination shall not affect any other provision of these Terms, and these Terms shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein, with the remaining provisions remaining in full force and effect.

24B. Assignment

You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without the prior written consent of PMB. PMB may freely assign, transfer, or delegate these Terms, or any rights and obligations hereunder, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

25. GOVERNING LAW, DISPUTE REVIEW, AND CONTACT INFORMATION

These Terms, and all claims or disputes arising out of or relating to these Terms, the Platform, or the Services, shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Except where prohibited by applicable law, you agree that any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the courts of competent jurisdiction located in Toronto, Ontario, Canada, and you hereby irrevocably submit and attorn to the personal and exclusive jurisdiction of such courts. Questions, inquiries, or formal notices regarding these Terms may be directed to PMB via the contact information designated on the Website.

26. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, any applicable order forms, invoice terms, or specific Advertising Package agreements executed directly between you and PMB, constitute the entire, complete, and exclusive agreement between you and PMB regarding the subject matter hereof, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, warranties, and communications, whether oral or written.
